Welcome to Podify! Please read these terms and conditions carefully before using our podcast platform.

1. Acceptance of Terms

By accessing or using Podify ("the Platform"), operated by SonicBloom Technologies, located at 555 Harrison Street, Suite 200, San Francisco, CA 94105, you ("the User") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and SonicBloom Technologies. 2. Description of Service

Podify is a podcast platform offering a wide range of audio content, including podcasts created by SonicBloom Technologies and third-party creators. The Platform allows Users to discover, listen to, and potentially create and share podcasts. SonicBloom Technologies reserves the right to modify or discontinue, temporarily or permanently, the Platform (or any part thereof) with or without notice.

3. User Accounts

To access certain features of the Platform, you may be required to create an account.

  • You must be at least 13 years of age to create an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • You are responsible for all activities that occur under your account.
  • You agree to notify SonicBloom Technologies immediately of any unauthorized use of your account or any other breach of security.

4. User Conduct

You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Platform. Prohibited behavior includes, but is not limited to:

  • Harassing, threatening, or abusing other users.
  • Transmitting obscene or offensive content.
  • Distributing viruses or other harmful software.
  • Engaging in any activity that could damage, disable, or impair the Platform.
  • Violating any applicable laws or regulations.
  • Attempting to circumvent security measures or gain unauthorized access to any part of the Platform.

5. Content Ownership and Licensing

  • SonicBloom Technologies Content: All content provided by SonicBloom Technologies on the Platform, including but not limited to text, graphics, logos, images, audio clips, and software, is owned by or licensed to SonicBloom Technologies and is protected by copyright, trademark, and other intellectual property laws.
  • User-Generated Content: If you create and upload podcasts to the Platform, you retain ownership of your content. However, by uploading content, you grant SonicBloom Technologies a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display your content on the Platform and in connection with the operation of the Platform. You also grant other users of the Platform a license to access and listen to your content.
  • Copyright Policy: SonicBloom Technologies respects the intellectual property rights of others. If you believe that your copyrighted work has been infringed on the Platform, please contact our designated copyright agent, Anya Petrova, at [email protected] with the following information:
    1. A description of the copyrighted work that you claim has been infringed.
    2. A description of where the allegedly infringing material is located on the Platform.
    3. Your contact information, including your address, telephone number, and email address.
    4. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
    5. A statement by you, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

6. Third-Party Links and Content

The Platform may contain links to third-party websites or resources. SonicBloom Technologies is not responsible for the content, accuracy, or availability of these third-party sites or resources. Links to such sites or resources do not imply any endorsement by SonicBloom Technologies. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources. Furthermore, the platform may display content from third-party podcast creators. SonicBloom Technologies is not responsible for this content and its views do not necessarily reflect those of SonicBloom Technologies.

7. Disclaimer of Warranties

The platform is provided on an "as is" and "as available" basis. SonicBloom Technologies makes no warranties, express or implied, regarding the platform, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. SonicBloom Technologies does not warrant that the platform will be uninterrupted or error-free, that defects will be corrected, or that the platform is free of viruses or other harmful components.

8. Limitation of Liability

To the fullest extent permitted by applicable law, SonicBloom Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of or inability to use the platform; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the platform; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the platform by any third party; (e) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the platform; and/or (f) the defamatory, offensive, or illegal conduct of any third party.

9. Indemnification

You agree to indemnify and hold harmless SonicBloom Technologies, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Platform; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

10. Termination

SonicBloom Technologies may terminate your access to the Platform, without cause or notice, which may result in the forfeiture and destruction of all information associated with your account. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in San Francisco, California for the resolution of any disputes arising out of or relating to these Terms or the Platform.

12. Changes to Terms

SonicBloom Technologies reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Platform.

14. Entire Agreement

These Terms constitute the entire agreement between you and SonicBloom Technologies relating to the Platform and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and SonicBloom Technologies with respect to the Platform.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

16. Waiver

The failure of SonicBloom Technologies to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17. Assignment

These Terms are not assignable, transferable, or sublicensable by you except with SonicBloom Technologies' prior written consent. SonicBloom Technologies may assign, transfer, or delegate any of its rights and obligations hereunder without consent.

18. Additional Terms for Podcast Creators

If you are using Podify to host and distribute your own podcast, the following additional terms apply:

  • You represent and warrant that you have all necessary rights and permissions to distribute your podcast content on Podify, including but not limited to copyrights, licenses, and releases.
  • You agree to comply with all applicable laws and regulations related to podcasting, including those related to advertising, endorsements, and data privacy.
  • You are responsible for ensuring that your podcast content does not infringe the rights of any third party, including but not limited to copyright, trademark, or privacy rights.
  • SonicBloom Technologies may remove or suspend your podcast from the Platform if it violates these Terms or any applicable laws or regulations.

19. DMCA Policy for Podcast Creators

If SonicBloom Technologies receives a valid DMCA takedown notice regarding your podcast content, we will promptly remove or disable access to the allegedly infringing material. We will also provide you with a copy of the DMCA notice and an opportunity to submit a counter-notification if you believe that the material was removed or disabled as a result of mistake or misidentification.
